Tokio Marine links Berkshire pact to overseas growth options as strategic partnership expands risk capacity

Tokio Marine CEO Masahiro Koike said the tie-up with Berkshire Hathaway’s National Indemnity opens “other options” beyond what the insurer could pursue alone, as the partnership deepens collaboration in reinsurance and global M&A.

Tokio Marine Holdings is indicating that its strategic partnership with Berkshire Hathaway is intended to broaden its ability to pursue growth overseas, with CEO Masahiro Koike pointing to added flexibility created by the deal. Koike said the Berkshire arrangement “opens up other options that we would not be able to do on our own,” according to a report that circulated through Yahoo Finance coverage and was republished by Life Insurance International on June 8, 2026.

The comment comes after Tokio Marine and Berkshire Hathaway’s insurance unit, National Indemnity Company (NICO), announced a comprehensive strategic partnership on March 23, 2026. In an exchange filing translated by Japan’s stock exchange (JPX), Tokio Marine described the pact as anchored by an equity investment, collaboration in reinsurance, and a framework for strategic collaboration in M&A and other global investments.

Under the structure, NICO initially buys an approximately 2.5% stake in Tokio Marine, Tokio Marine said. Tokio Marine’s filing specifies that NICO will acquire 48,207,200 shares, representing 2.49% of the insurer’s issued shares as of December 31, 2025, while Tokio Marine resolved to repurchase shares for up to 287.4 billion yen.

Tokio Marine said the ownership component is designed to serve as a catalyst for medium- to long-term growth for both companies, rather than a short-term business arrangement. It also noted governance limits on NICO: NICO has agreed not to acquire more than 9.9% of Tokio Marine’s outstanding shares without prior approval from Tokio Marine’s board of directors. Reuters similarly described NICO’s ability to increase the stake up to 9.9% through open-market purchases, subject to the board approval threshold.

Beyond the equity piece, the partnership includes a reinsurance collaboration. Tokio Marine said it would welcome NICO onto its reinsurance panel, with NICO assuming part of Tokio Marine’s portfolio through a Whole Account Quota Share (WAQS) reinsurance arrangement. In the filing, WAQS is described as a proportional reinsurance structure in which the reinsurer takes a predetermined percentage of premiums, claims, and related items across a pre-defined portfolio, rather than being limited to specific insurance lines.

Tokio Marine characterized the reinsurance element as a way to strengthen a long-term, stable risk capacity and to improve earnings stability and strategic flexibility, particularly in relation to natural catastrophe risk. Reuters, in turn, framed the benefit as adding “long-term and stable risk capacity” that can help mitigate underwriting volatility, including from events such as hurricanes.

The third pillar is global deal-making support. Tokio Marine said it and NICO would collaborate on global strategic investment opportunities, including M&A, with joint investments intended to drive sustained business expansion.
